We are currently recruiting a Corporate Officer for our Sofia office. The successful candidate will provide legal and administrative support to Client Services. They are in charge of the day-to-day management of assigned companies.
You will have the following responsibilities:
Conduct independently due diligence reviews on various third parties (investors, clients and similar) of our clients and delegates incl. KYC/AML identification at the request of our clients
Maintain KYC/AML files of the clients and liaise with the client teams initial and recurring reviews; Maintain the required statutory registers, ensuring the timely filing of returns with the Trade and Companies Register
Update and maintain in good standing from a legal point of view the corporate records of the client companies
Organising and actively attending board meetings, preparing meeting agendas and board packs and preparation of the board minutes
Preparation of minutes of general meetings (Ordinary or Extraordinary)and proxies and maintaining the register of shareholders up-to-date
Organising the incorporation of companies (i.e. communication with banks, notaries, Luxembourg administrations, customers, clients’ consultants, etc...)
Assist in the preparation and production of the annual reports and accounts and assist clients in the execution of their legal obligations; follow-up legal and other company records and update legal files
Prepare and provide assistance in the preparation of various corporate deeds (increase / decrease of share capital, dissolution, liquidation, etc ...)
Coordinating with external legal advisors in Luxembourg and abroad to ensure smooth completion of investment and financing transactions
Team up with the financial reporting teams in Sofia and other offices to ensure the relevant legal documentation is in place
Keep up to date the trade register information for all relevant clients. Prepare and file any required corporate updates to the trade register
Setting up and maintaining an excellent communication stream with different deal teams, finance, tax and legal teams internally from different offices of the firm
Lead different projects internally or with local legal and tax advisors in a broad range of areas to ensure the appropriate standards are implemented in the various investment structures
Track and monitor the accuracy of legal documents and corporate governance
Update statutory and other information contained on various databases; Know and apply procedures implemented within the Company
Provide support with acquisition, disposal of assets and with the incorporation of new companies and coordinate with third parties and fund teams to ensure timely and correct completion
Your skills:
A background in law with emphasis on corporate law. Knowledge of Luxembourg law would be an asset.
A minimum of 8 years’ experience in a corporate legal role
Strong company secretarial experience
Ability to develop and manage client relationships
Fluent in English, with excellent written and verbal communication skills. French and/or German language skills would be an asset
Ability to communicate in an international working environment with all levels of staff
Highly motivated and pro-active with the ability to prioritise workloads to meet tight deadlines
Strong administrative and organisational skills
