About Centralis
Centralis partners with Alternative Investment Firms and Corporates providing administrative, global expansion and governance solutions tailored to clients’ unique needs and challenges. Founded in 2006 and headquartered in Luxembourg, Centralis has offices in 13 jurisdictions and employs over 600 experienced, multilingual professionals.
The role
We are recruiting a Senior Compliance Officer for our Netherlands office. Centralis Netherlands (CNL) is a trust office licensed under the Dutch Act on the Supervision of Trust Offices 2018 (Wtt 2018) and supervised by De Nederlandsche Bank (DNB). CNL is also subject to the Dutch Anti-Money Laundering and Anti-Terrorist Financing Act (Wwft). You will ensure that the business of CNL complies with applicable laws, regulations and supervisory requirements, as well as Group policies and procedures. You will act as the local compliance lead for the Netherlands, reporting to the Head of Compliance based in Luxembourg.
The compliance function’s objective is to identify and assess the compliance risk of the company and to support senior management in managing and monitoring this risk. The role suits a candidate with a legal or economic background and solid trust office experience in the Netherlands, who can work autonomously and challenge the business constructively.
Key responsibilities
- Act as the key contact for DNB and for external and internal auditors, and coordinate regulatory and audit requests.
- Ensure CNL’s ongoing compliance with the Wtt 2018 and related DNB regulations governing trust offices, including integrity, sound operational management and client due diligence requirements.
- Ensure compliance with the Wwft and sanctions legislation, and the local implementation of Group policies and procedures.
- Perform the Systematic Integrity Risk Analysis (SIRA) and follow up on the related action plans.
- Review and sign off client acceptance files, periodic reviews and higher-risk escalations, and participate in the Client Acceptance and AML/Risk Committees.
- Oversee transaction monitoring and report on related escalations.
- Identify gaps and weaknesses in policies and procedures, including customer due diligence, and work with Group Compliance to update them.
- Execute the annual Compliance Monitoring Programme, including sample-based testing of onboarding, periodic reviews and transaction monitoring, and report results to Group Compliance.
- Prepare periodic compliance reporting for local management and Group Compliance, including the quarterly Compliance Management Information.
- Monitor regulatory developments and assess their impact on the Netherlands business.
- Advise management on complex compliance matters and deliver compliance training to staff.
- Support Group Compliance projects and act as backup for other jurisdictions where needed.
- Supervise and develop compliance team members, if the role includes line management.
Your profile
- Bachelor’s or Master’s degree in law, economics or a related field.
- At least 5 years’ compliance experience, including significant experience within a Dutch trust office environment regulated under the Wtt 2018.
- Practical knowledge of DNB expectations, the Wtt 2018, the Wwft and sanctions requirements.
- Hands-on experience with SIRA, client acceptance, periodic reviews and compliance monitoring.
- Fluent in English and Dutch, written and spoken.
- Strong judgement, with the confidence to challenge the business and escalate where needed.
- Proactive, accountable, resilient and able to adapt to changing regulatory and business demands.
