Career Opportunity:
We are currently recruiting a Corporate Legal Officer, for our Sofia office. The successful candidate will join the Shared Service Center Corporate Secretary (“SSC Cosec”) Department, which is in charge of the corporate secretary services delivered to the assigned clients from Luxembourg, Switzerland, UK and the Netherlands.
You will have the following responsibilities:
- Assure and maintain high standard from a legal point of view of corporate documentation and of corporate secretary services delivered to the clients from different jurisdictions
- Organizing and actively attending board meetings, preparing meeting agendas, board packs, board meeting minutes, etc.
- Preparation of various corporate legal documents based on the available templates - agreements, addendums, corporate deeds (increase/ decrease of share capital, dissolution, liquidation, etc.)
- Organizing the incorporation of companies
- Preparation and filing of corporate updates to the trade registers and keep up to date the trade register information for all clients
- Update statutory and other information contained on various databases and registers
- Provide prompt and accurate ad hoc legal and compliance information as requested by internal and external teams
- Team up with the financial reporting teams to ensure the relevant legal documentation is in place
- Setting up and maintaining an excellent communication stream with different teams of Centralis
- Know and apply the procedures implemented within the SSC Cosec and Centralis
Your skills:
- A background in law with emphasis on corporate law and investments. Knowledge of the Luxembourg or the UK law would be an asset
- A minimum of 4 years of experience in a corporate legal role
- Strong company secretarial skills
- Expertise in drafting corporate legal documents
- Fluent in English, with excellent written and verbal communication skills. French and/or German language skills would be an asset
- Ability to communicate in an international working environment with all levels of staff
- Highly motivated and pro-active with the ability to prioritise workloads to meet tight deadlines and clients` needs. The successful candidate will demonstrate an eagerness to learn and to follow guidelines and instructions
- Attention to details and strong organisational skills
